EXIM PAY — TERMS & CONDITIONS

These Terms & Conditions ("Terms") govern your access to and use of Exim Pay ("Exim Pay", "we", "us", "our") services and platforms, including our website, mobile applications, APIs, and all related payment products and services (collectively, the "Services").

By registering for an Exim Pay account, accessing the platform, or using any part of our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. DEFINITIONS

In these Terms:

  • Account means your Exim Pay user account registered under your name or entity.
  • Customer / User means any person or entity using the Services.
  • Transaction means any payment, transfer, deposit, withdrawal, or settlement activity.
  • KYC means Know Your Customer checks required to verify identity and business legitimacy.
  • AML/CTF means Anti-Money Laundering and Counter-Terrorist Financing laws and procedures.
  • Wallet means the digital balance account provided by Exim Pay where applicable.
  • Merchant means a business customer using Exim Pay for receiving payments or settlement services.

2. ELIGIBILITY

2.1 Age & Capacity

You must be at least 18 years old and legally capable of entering into contracts to use Exim Pay.

2.2 Business Use

If you are registering on behalf of a company, you confirm you are authorized to bind that business to these Terms.

2.3 Restricted Users

You may not use the Services if you are subject to sanctions, located in restricted jurisdictions, or involved in prohibited activities.

3. SCOPE OF SERVICES

Exim Pay provides payment and financial technology services which may include:

  • Domestic and international money transfers
  • Payment processing for merchants
  • Wallet services (where available)
  • Bill payments and collections
  • Currency conversion (where available)
  • API integrations and payment gateways
  • Agent or partner-assisted payment services
  • Settlement and payout services

Availability may vary by country and regulatory requirements. Exim Pay may modify, suspend, or discontinue any Service at any time.

4. ACCOUNT REGISTRATION & SECURITY

4.1 Account Information

You must provide true, accurate, and complete information during registration and maintain updated details at all times.

4.2 Account Credentials

You are responsible for safeguarding your login credentials and ensuring that only authorized users access your account.

4.3 Unauthorized Use

You must notify Exim Pay immediately if you suspect unauthorized access or suspicious activity. Exim Pay is not responsible for losses arising from your failure to protect your credentials.

5. IDENTITY VERIFICATION (KYC) & COMPLIANCE

5.1 Verification Requirement

Exim Pay may require verification of identity, address, source of funds, and other supporting documents before you can access certain Services or transaction limits.

5.2 Ongoing Compliance

You agree that Exim Pay may request additional information at any time to comply with AML/CTF and applicable laws.

5.3 Refusal or Restriction

Exim Pay may refuse to open, suspend, restrict, or close an account if you fail to provide required information or if we believe your activity violates law or policy.

6. FEES, CHARGES & EXCHANGE RATES

6.1 Fees

You agree to pay fees associated with your Transactions and Services as displayed on the platform or communicated by Exim Pay.

6.2 Exchange Rates

Exchange rates for currency conversion may include a margin and may change at any time based on market rates, liquidity, and provider rates.

6.3 Third-Party Fees

Intermediary banks, mobile money operators, agents, and other partners may charge additional fees that are outside Exim Pay's control.

7. TRANSACTION PROCESSING & LIMITS

7.1 Transaction Authorization

By initiating a Transaction, you authorize Exim Pay to process the Transaction and debit/credit the relevant account or wallet.

7.2 Processing Times

Transaction completion depends on partner networks, banking systems, regulatory reviews, and verification. Processing times may vary.

7.3 Transaction Limits

Exim Pay may apply transaction limits, daily/monthly caps, and tier-based restrictions depending on KYC status, risk assessment, and regulations.

7.4 Failed or Reversed Transactions

Transactions may fail or be reversed due to incorrect details, compliance checks, partner failures, system issues, insufficient funds, or regulatory requirements.

8. USER RESPONSIBILITIES

You agree that you will:

  • Use Exim Pay only for lawful purposes
  • Provide correct recipient details and transaction references
  • Maintain sufficient balance to cover fees and charges
  • Comply with all applicable laws and regulations
  • Not misuse, hack, copy, manipulate, or disrupt the platform
  • Not engage in fraudulent activities or misrepresentation

9. PROHIBITED ACTIVITIES

You must not use Exim Pay for activities including but not limited to:

  • Money laundering, terrorist financing, or sanctions evasion
  • Fraud, scams, phishing, or identity theft
  • Transactions linked to illegal goods or services
  • Gambling activities (where restricted by law)
  • Unlicensed financial services or unapproved third-party payment aggregation
  • Any activity that violates local or international law
  • Processing payments for restricted businesses without Exim Pay's approval

Exim Pay may block, reverse, suspend, or report activities suspected to be prohibited.

10. SUSPENSION, TERMINATION & ACCOUNT CLOSURE

Exim Pay may suspend, restrict, or close your account immediately if:

  • Required KYC documents are not provided
  • Fraud or unlawful activity is suspected
  • You violate these Terms or applicable laws
  • You create significant risk to Exim Pay, partners, or customers
  • Authorities request action or legal compliance requires it

Upon closure, Exim Pay may hold funds temporarily to complete investigations or compliance obligations.

11. REFUNDS & REVERSALS

11.1 Refund Eligibility

Refunds are subject to the status of the transaction, partner rules, and compliance checks.

11.2 No Refund for User Error

If a transaction is completed using incorrect recipient details supplied by the user, refunds may not be possible.

11.3 Compliance Holds

Refunds may be delayed if the transaction is under investigation or subject to regulatory review.

12. DATA PRIVACY & CONFIDENTIALITY

Exim Pay collects and processes personal data in accordance with its Privacy Policy and applicable data protection laws.

You consent to Exim Pay using and sharing your information with:

  • Banks, payment partners, agents, and service providers
  • Identity verification providers
  • Regulators, law enforcement, and compliance bodies
  • Credit and risk assessment partners where legally permitted

Exim Pay will take reasonable security measures to protect your data.

13. INTELLECTUAL PROPERTY

All logos, trademarks, software, content, and platform features belong to Exim Pay or its licensors. You may not copy, modify, distribute, reverse engineer, or exploit any part of the Services without written consent.

14. SERVICE AVAILABILITY & LIMITATION OF LIABILITY

14.1 Service Availability

Exim Pay may experience downtime due to maintenance, system upgrades, network issues, third-party interruptions, or unforeseen events.

14.2 No Warranty

Services are provided "as is" and "as available." Exim Pay does not warrant uninterrupted or error-free Services.

14.3 Limitation of Liability

To the maximum extent permitted by law, Exim Pay will not be liable for:

  • Indirect or consequential losses
  • Loss of profits, business, or reputation
  • Delays caused by third parties or regulatory reviews
  • Loss caused by user negligence or incorrect information

Exim Pay's total liability for any claim will not exceed the amount of the disputed transaction or fees paid for that service, whichever is lower, unless the law requires otherwise.

15. FORCE MAJEURE

Exim Pay shall not be liable for failure or delay in performing obligations due to events beyond its reasonable control, including natural disasters, pandemics, power outages, network failures, government actions, strikes, cyberattacks, or partner service disruptions.

16. CHANGES TO TERMS

Exim Pay may update these Terms at any time. We will notify you via the platform, email, or other reasonable means. Continued use of the Services after changes means you accept the updated Terms.
